FreightAudit AI Terms of Service
Effective date: October 23, 2026
Service provider: FreightAudit AI (“FreightAudit AI,” “we,” “us,” or “our”)
Operating location: Lahore, Punjab, Pakistan Notices and support: support@freightauditweb.com
Publication notice: These Terms are intended for business customers. Have qualified counsel review them before publication. They do not replace a negotiated order form, data processing agreement, or other written agreement that expressly overrides them.
1. Agreement and eligibility
These Terms of Service (“Terms”) govern access to and use of the FreightAudit AI website, application, APIs, inbound email processing, and related services (collectively, the “Service”). By creating an account, accepting an order, or using the Service, the individual accepting these Terms represents that they have authority to bind the business identified in the account (“Customer”). If they do not have that authority, they must not accept these Terms or use the Service on the Customer’s behalf.
The Service is intended for business-to-business use by freight brokers, logistics businesses, and their authorized personnel. The person accepting these Terms must be at least 18 years old and legally able to enter into a binding agreement.
2. The Service and subscription
2.1 Decision-support service
The Service helps organize freight documents and supports invoice review, discrepancy identification, detention and fuel-surcharge analysis, dispute communications, reporting, and accounting workflows. Depending on the configuration and plan, features may include document upload and batch processing, inbound invoice email, load and driver check-in workflows, CSV exports, and integrations or simulated connectors for accounting and payment operations.
The Service may use automated optical character recognition, rules, external artificial-intelligence services, and information supplied by Customer. Results may be incomplete, inaccurate, delayed, or unavailable. A flag, “clean” result, suggested dispute, extracted amount, compliance result, or other output is not a guarantee that an invoice, charge, carrier, shipment, payment, or legal position is correct.
2.2 Trial
The currently configured free trial lasts 7 days from signup or until 25 audits have been used, whichever occurs first. The trial is advertised as not requiring a payment card. Trial features, limits, or availability may be changed for future signups with notice where required by law.
2.3 Current paid plan and price
The current public catalog defines one paid tier: Professional at USD $300 per month, for unlimited audits. Prices, taxes, plan features, and billing terms presented at checkout or in an applicable order form control if they differ from this description. Unless an order form says otherwise, the subscription renews monthly until cancelled.
Checkout and recurring subscription payments are provided through Lemon Squeezy, our merchant of record. Lemon Squeezy hosts checkout and processes payment details under its own terms and privacy practices; the Service is designed not to receive card numbers. Charges may include applicable taxes, and Customer authorizes Lemon Squeezy to charge the payment method selected at checkout for recurring fees until cancellation.
2.4 Cancellation, billing disputes, and refunds
Customer may request cancellation using the controls provided by Lemon Squeezy or by contacting us at the address above. A Service downgrade or access change inside the application may not, by itself, cancel a recurring billing instruction. Customer should obtain confirmation that recurring billing has been cancelled. Cancellation takes effect in accordance with the checkout terms and applicable law; unless required by law or stated in an order form, fees already paid are non-refundable and access may continue through the paid period.
Customer must promptly notify us of suspected billing errors. Lemon Squeezy may also provide a payment dispute process. We may suspend paid features if a payment is declined, reversed, or overdue, subject to applicable notice requirements.
3. License and permitted use
Subject to these Terms and timely payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for Customer’s internal commercial freight-audit and accounts-payable operations. Customer may authorize its employees and contractors to use the Service as permitted by their assigned roles.
Customer may not, and may not permit any other person to:
- copy, modify, translate, or create derivative works of the Service except as allowed by law;
- reverse-engineer, decompile, disassemble, or attempt to discover source code, models, or non-public interfaces, except to the extent such restriction is prohibited by law;
- rent, resell, sublicense, timeshare, or commercially exploit the Service for an unrelated third party;
- scrape, crawl, harvest, or access the Service through unauthorized automated means;
- bypass authentication, account limits, tenant controls, rate limits, or security measures;
- upload malware, unlawful content, or files designed to disrupt or compromise the Service;
- use the Service in violation of law, a carrier or shipper contract, or a third party’s rights; or
- use Service outputs as the sole basis for a payment, legal, safety, insurance, or other consequential decision.
4. Customer account and responsibilities
Customer is responsible for:
- the accuracy and lawfulness of information submitted to the Service;
- safeguarding credentials, access tokens, inbound email addresses, and driver tracking links;
- promptly removing access for personnel who no longer need it and notifying us of suspected account compromise;
- configuring user roles and reviewing actions taken under its accounts;
- obtaining all notices, permissions, consents, and other rights required to submit documents and data, including carrier invoices, bills of lading, proof of delivery, rate confirmations, shipment and driver information, location data, and carrier contact details;
- ensuring that its use of the Service and disclosures to subprocessors are permitted by its agreements and applicable law; and
- maintaining independent copies of important records and validating extracted information and audit recommendations.
Customer must not submit payment-card data, account passwords, government identifiers, health information, or other sensitive personal information unless the Service has expressly agreed in writing to support that data category.
5. Customer data and service processing
As between the parties, Customer retains its rights in data and files it submits (“Customer Data”). Customer grants us a limited license to host, reproduce, transmit, transform, and otherwise process Customer Data as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and perform these Terms. We will not sell or rent Customer Data. We may disclose it to service providers and other recipients as described in the Privacy Policy, and to legal or safety authorities when legally required.
Customer is responsible for determining whether documents may be sent to configured third-party AI, email, hosting, payment, or other providers. The Service currently may transmit document content to Google Gemini and, when configured, OpenAI for extraction. Third-party services are subject to their own terms and privacy practices.
Workspace separation limitation: The application scopes shipment and freight-document records to the Customer account, but the current implementation also uses a shared carrier directory. Carrier names, normalized names, motor-carrier or DOT identifiers, and accounts-receivable contact information may be stored in shared carrier records and linked to activity from more than one customer. Accordingly, do not treat all carrier-directory fields or associated carrier-level information as confidential to one tenant. This limitation should be reviewed and resolved if Customer requires strict tenant isolation of all carrier information.
6. Automated results and Customer’s final responsibility
The Service is an administrative decision-support tool only. Customer retains 100% of the final financial, operational, accounting, and legal responsibility for independently verifying all source documents, extracted fields, calculations, benchmarks, flags, and recommendations; deciding whether to dispute or approve an invoice; issuing, withholding, or reconciling payments; managing carrier and shipper relationships; complying with transportation, tax, accounting, and other legal requirements; and making or correcting accounting entries.
The Service does not provide legal, tax, accounting, insurance, safety, or financial advice; does not act as a freight broker, carrier, factoring company, payment institution, or fiduciary; and does not decide whether Customer is legally obligated to pay a carrier. A suggested dispute email is a draft and is not sent until an authorized user chooses to send it. Any accounting or payment workflow must be independently reviewed and authorized by Customer.
7. Integrations and third-party services
The Service may connect to or rely on Lemon Squeezy for subscription billing, Google OAuth and Gmail, Google Gemini, OpenAI (if configured), inbound email providers, the U.S. Energy Information Administration (EIA), Federal Motor Carrier Safety Administration (FMCSA) data, and hosting, database, email, or storage providers selected for a deployment. QuickBooks Online, Xero, NetSuite, and carrier payment dispatch workflows may operate in sandbox or simulated mode unless a live integration is separately configured and identified as such.
Third-party services are not controlled by us. Their availability, terms, security, data handling, and actions are governed by their own agreements. Customer authorizes the connections it configures and is responsible for reviewing third-party terms and permissions. We are not responsible for a third party’s independent acts or omissions, except to the extent applicable law provides otherwise.
8. Confidentiality and security
Each party must protect the other party’s non-public information using reasonable care and use it only for the purposes of the relationship. This obligation does not apply to information that is public without breach, already lawfully known, independently developed, or rightfully received from another source.
We use technical and organizational safeguards appropriate to the Service, which may include account authentication, tenant-scoped access in application workflows, encrypted transport where configured, and deployment-level security controls. No method of transmission or storage is completely secure. Customer must not rely on the Service as its only copy or system of record.
9. Intellectual property and feedback
We and our licensors own the Service, its software, designs, documentation, and related intellectual property. No rights are granted except those expressly stated in these Terms. If Customer provides suggestions or feedback, we may use them without restriction or payment, provided we do not disclose Customer’s confidential information in doing so.
10. Suspension and termination
Customer may stop using the Service and request account closure by contacting us. We may suspend access immediately where reasonably necessary to address a security threat, suspected fraud, unlawful use, material risk to other users, or material breach. We may suspend or terminate access for non-payment or other breach after any notice and cure period required by law or an applicable order form. We may discontinue the Service with reasonable notice, subject to applicable law and any written commitment.
Upon termination, the license ends and Customer must stop using the Service. Customer remains responsible for fees accrued through the effective cancellation date. Data handling after termination is described in the Privacy Policy. The current application does not provide a self-service account deletion or a configured automatic data-retention schedule; Customer must contact us to request export or deletion, and any such request will be handled subject to legal obligations, technical feasibility, and the applicable agreement.
Sections that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, liability limitations, indemnities, and dispute provisions.
11. Warranties and disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy of extraction, audit, carrier, compliance, or benchmark results. We do not warrant that the Service will identify every overcharge, prevent loss, establish legal compliance, or be continuously available.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
12. Limitation of liability
To the maximum extent permitted by law:
- neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost revenue, loss of goodwill, or loss or corruption of data, even if advised that such damages were possible; and
- each party’s aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by Customer to us for the Service during the 12 months before the event giving rise to liability. If Customer has paid no fees, the aggregate cap is USD $100.
These limitations do not apply to liability that applicable law does not permit a party to limit, or to Customer’s payment obligations, misuse of intellectual property, or indemnification obligations to the extent enforceable under applicable law.
13. Customer indemnity
To the extent permitted by law, Customer will defend and indemnify us and our personnel against third-party claims, losses, and reasonable expenses arising from Customer Data, Customer’s failure to obtain required rights or consents, Customer’s unlawful use of the Service, or Customer’s breach of these Terms. We will give reasonable notice of a claim and allow Customer to control the defense, provided Customer may not settle a claim in a way that imposes liability or an admission on us without our written consent.
14. Changes to the Service or Terms
We may update the Service and these Terms. For material changes, we will provide notice through the Service, by email, or by another reasonable method. Changes will take effect on the stated date. Continued use after the effective date constitutes acceptance where permitted by law; if Customer does not agree, it must stop using the Service and may cancel as provided above.
15. Governing law and disputes
These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law rules. The courts located in Delaware, United States will have exclusive jurisdiction, subject to any mandatory consumer or other non-waivable rights. The parties will first attempt in good faith to resolve a dispute through written notice and discussions between authorized representatives.
16. General
These Terms and any applicable order form or data processing agreement are the entire agreement concerning the Service and supersede prior discussions on that subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Customer may not assign these Terms without our written consent, except in connection with a merger or sale of substantially all relevant assets, subject to applicable law. We may assign these Terms to an affiliate or successor. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, or fiduciary relationship.
